Wonderful people, today let's talk about online company registration with URSB in Uganda. At one point, every company will need to formalise, and part of the business formalisation should be to register the business with URSB and transform it into a Ugandan company.

What does online company registration with URSB involve?

It basically involves starting by registering on the URSB online portal to create an account where you will be reserving the name and carry out the whole registration process
Simply visit https://obrs.ursb.go.ug/ or click here for the Online Business Registration System (OBRS)
and then register in the portal. If you don't have an email address, it is high time you create one because you will need an email address throughout out the entire process

After registering, you will have to verify your email address and phone number because both will be useful throughout out the entire process

Let's talk about the entire registration process

Begin by reserving your company name. This is usually the hardest process because URSB avoids approving similar names. You must ensure that your company name is very unique to avoid delay in the company registration process. If your name is similar, Uganda Registration Services Bureau (URSB) will not approve it. The system also has a provision for you to add an alternative name

While reserving the name, you should also select the type of company that you are registering. 
  1. A company limited by shares must have at least two subscribers. This company involves share capital. What are shares? shares are portions of ownership of the company given to share holders
  2. A company limited by gurantee is suitable for companies that do not have share capital. If you are registering a non-profit like an NGO, then you should consider this
  3. A single-member company. Single-member companies are owned by one person. 100% of the shares go to the person
  4. Public company. A public company is a company whose shares are sold to the public and can be bought or sold freely
All the above are categories of companies in the system.

Company activities

 Another important thing you should consider is what your company will deal in. Is it IT services, and in IT services is it programming? Are you going to deal with goods sold in stores or those not sold in stores? If you are just going to supply goods without having a store, then you should choose goods not sold in stores. Depending on what you want to do, you must choose the right category; you don't need to worry, all sectors are catered for. what i gave above ar examples

You should also highlight company objectives.
After that you submit your name for approval. Sometimes your name may be queried but you don't have to worry; you just have to follow what the registrar says and choose the right name

After name approval with URSB

After your name is approved, click register and start registering the company step by step; ensure that you fill in the right details. Below are the various forms the system generates

Form 18 – This form indicates the physical address of your company
Form 20 – It shows the directors of the company
Memarts (Memorandum of Articles of Association) – This includes the objectives, shareholders and share capital
Form S18 – Has the company name, address, place of business, nature of business, proposed share capital, names of subscribers and their signatures
Form 1 – This is also called the beneficial owner form. It contains details of the beneficial owners of the company, their percentage of shares and voting rights, as well as the right to appoint
From A1 – This shows the declaration of the statement of nominal capital and the value of each share. For example the capital of 1000000 UGX can be divided to 100 shares costing 10000 UGX each

When you have filled out each section correctly, kindly download the forms generated, give each subscriber to sign, upload to the system, and pay

You can pay using mobile money, a Visa card or over the counter
